Terms of Service

These Terms of Service ("Terms") govern your use of the RetailStock desktop application and website (retailstock.in), operated by RetailStock ("we", "us", or "our").

By installing, accessing, or using RetailStock, you agree to be bound by these Terms. If you do not agree, please do not use our software or services.

1. Definitions

• "Software" means the RetailStock desktop application for Windows and macOS.
• "Service" means the Software along with cloud sync, support, updates, and any related services we provide.
• "You" / "Customer" means the individual or business entity using the Service.
• "Subscription Period" means the active period of your licence, including the initial free period and any paid renewals.

2. Licence Grant

Upon payment of the applicable fees, we grant you a non-exclusive, non-transferable, revocable licence to install and use the Software on unlimited devices owned or controlled by your business, for the duration of your Subscription Period.

You may not:

• Sublicense, sell, resell, or redistribute the Software.
• Reverse-engineer, decompile, or disassemble the Software.
• Use the Software for any unlawful purpose.
• Remove or alter any proprietary notices or labels on the Software.

3. Pricing and Payment

3.1 Setup Fee

The one-time setup fee is ₹15,000 (Indian Rupees Fifteen Thousand). This includes:

• Full software setup on all your devices.
• GST and company configuration.
• Data migration from Excel, Tally, or Vyapar.
• Invoice template customisation.
• 2 training sessions.
• First 2 years of subscription — completely free.

3.2 Annual Subscription

From Year 3 onwards, the subscription is ₹7,000/year (Indian Rupees Seven Thousand per year). This includes all features, unlimited devices, software updates, and priority support.

3.3 Payment Processing

All payments are processed through Razorpay. Accepted methods include UPI, credit/debit cards, and net banking. All prices are in Indian Rupees (INR) and inclusive of applicable taxes unless stated otherwise.

4. Free Trial and Refunds

4.1 Satisfaction Guarantee

If you are not satisfied with RetailStock within 30 days of the setup date, you may request a full refund of the setup fee. Contact us at support@retailstock.in with your payment details.

4.2 Subscription Refunds

Annual subscription payments (from Year 3 onwards) are non-refundable once the subscription period has begun, except where required by applicable law.

5. Your Data and Responsibilities

5.1 Data Ownership

You own all your business data. Invoices, inventory records, accounting entries, party details, and all other data you create in RetailStock belong to you. We do not claim ownership of your data.

5.2 Data Backups

Your data is stored locally on your device. While we provide cloud sync as a backup mechanism, it is your responsibility to maintain regular backups of your local database. We are not liable for data loss due to hardware failure, accidental deletion, or any other cause on your device.

5.3 Accurate Information

You are responsible for ensuring the accuracy of business information entered into RetailStock, including GSTIN, HSN codes, tax rates, and invoice details. RetailStock assists with GST calculations but does not guarantee regulatory compliance — that responsibility lies with you and your accountant.

5.4 Acceptable Use

You agree not to use RetailStock to:

• Generate fraudulent invoices or falsify business records.
• Violate any applicable Indian law or regulation, including GST laws.
• Attempt to gain unauthorised access to our systems or other users' data.
• Distribute malware or interfere with the Software's operation.

6. Support and Updates

6.1 Technical Support

During your active Subscription Period, you receive priority support via phone and WhatsApp. Support is available Monday to Saturday, 10 AM to 7 PM IST. We aim to respond to all queries within 2 hours during support hours.

6.2 Software Updates

We provide software updates (bug fixes, security patches, feature improvements) during your active Subscription Period. Updates are delivered automatically through the application. Major version upgrades may be subject to separate terms.

7. Service Availability

RetailStock is designed as an offline-first application. Core features (billing, inventory, accounting) work without internet and are not dependent on our servers.

Cloud sync and online features are provided on an "as available" basis. While we strive for high availability, we do not guarantee uninterrupted cloud service. Server downtime does not affect your ability to use the Software locally.

8. Intellectual Property

RetailStock, including its code, design, documentation, and branding, is the intellectual property of RetailStock and is protected by Indian copyright and intellectual property laws.

Your licence to use the Software does not transfer any intellectual property rights to you.

9. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

• RetailStock is provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Software.
• Our total liability for any claim arising from these Terms or your use of the Software shall not exceed the amount you paid to us in the 12 months preceding the claim.
• We are not responsible for losses caused by incorrect data entry, tax calculation errors resulting from incorrect configuration, or any decisions made based on reports generated by the Software.

10. Termination

10.1 By You

You may stop using RetailStock at any time. To cancel your subscription, contact us at support@retailstock.in. Your local data remains on your device after cancellation.

10.2 By Us

We may suspend or terminate your access if you violate these Terms, engage in fraudulent activity, or fail to pay applicable fees after reasonable notice. In case of termination, we will provide you reasonable time to export your data.

10.3 Effect of Termination

Upon termination, your licence to use the Software ends. However, your local data remains on your device. Cloud sync will be disabled, and cloud-stored data will be deleted within 30 days unless you request an export.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of the Software shall be subject to the exclusive jurisdiction of the courts in India.

Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and notify you via email or in-app notification for material changes.

Continued use of RetailStock after changes constitutes acceptance of the updated Terms.

13. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and RetailStock.
• Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
