These Terms of Service ("Terms") govern your use of the RetailStock desktop application and website (retailstock.in), operated by RetailStock ("we", "us", or "our").
By installing, accessing, or using RetailStock, you agree to be bound by these Terms. If you do not agree, please do not use our software or services.
Upon payment of the applicable fees, we grant you a non-exclusive, non-transferable, revocable licence to install and use the Software on unlimited devices owned or controlled by your business, for the duration of your Subscription Period.

The one-time setup fee is ₹15,000 (Indian Rupees Fifteen Thousand). This includes:
From Year 3 onwards, the subscription is ₹7,000/year (Indian Rupees Seven Thousand per year). This includes all features, unlimited devices, software updates, and priority support.
All payments are processed through Razorpay. Accepted methods include UPI, credit/debit cards, and net banking. All prices are in Indian Rupees (INR) and inclusive of applicable taxes unless stated otherwise.
If you are not satisfied with RetailStock within 30 days of the setup date, you may request a full refund of the setup fee. Contact us at support@retailstock.in with your payment details.
Annual subscription payments (from Year 3 onwards) are non-refundable once the subscription period has begun, except where required by applicable law.
You own all your business data. Invoices, inventory records, accounting entries, party details, and all other data you create in RetailStock belong to you. We do not claim ownership of your data.
Your data is stored locally on your device. While we provide cloud sync as a backup mechanism, it is your responsibility to maintain regular backups of your local database. We are not liable for data loss due to hardware failure, accidental deletion, or any other cause on your device.
You are responsible for ensuring the accuracy of business information entered into RetailStock, including GSTIN, HSN codes, tax rates, and invoice details. RetailStock assists with GST calculations but does not guarantee regulatory compliance — that responsibility lies with you and your accountant.
You agree not to use RetailStock to:
During your active Subscription Period, you receive priority support via phone and WhatsApp. Support is available Monday to Saturday, 10 AM to 7 PM IST. We aim to respond to all queries within 2 hours during support hours.
We provide software updates (bug fixes, security patches, feature improvements) during your active Subscription Period. Updates are delivered automatically through the application. Major version upgrades may be subject to separate terms.
RetailStock is designed as an offline-first application. Core features (billing, inventory, accounting) work without internet and are not dependent on our servers.
Cloud sync and online features are provided on an "as available" basis. While we strive for high availability, we do not guarantee uninterrupted cloud service. Server downtime does not affect your ability to use the Software locally.
RetailStock, including its code, design, documentation, and branding, is the intellectual property of RetailStock and is protected by Indian copyright and intellectual property laws.
Your licence to use the Software does not transfer any intellectual property rights to you.
To the maximum extent permitted by applicable Indian law:
You may stop using RetailStock at any time. To cancel your subscription, contact us at support@retailstock.in. Your local data remains on your device after cancellation.
We may suspend or terminate your access if you violate these Terms, engage in fraudulent activity, or fail to pay applicable fees after reasonable notice. In case of termination, we will provide you reasonable time to export your data.
Upon termination, your licence to use the Software ends. However, your local data remains on your device. Cloud sync will be disabled, and cloud-stored data will be deleted within 30 days unless you request an export.
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of the Software shall be subject to the exclusive jurisdiction of the courts in India.
Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and notify you via email or in-app notification for material changes.
Continued use of RetailStock after changes constitutes acceptance of the updated Terms.
